SEC Clears Cboe Listing Rule for Triple-Leverage Bitcoin and Ether ETPs

The U.S. Securities and Exchange Commission approved Cboe BZX Exchange's listing rule proposal on October 2nd, clearing a key regulatory hurdle for Volatility Shares' triple-leveraged Bitcoin and Ether products. The approval represents a significant step forward for issuers seeking to offer amplified daily exposure to crypto futures markets, though several important details about the products' actual launch remain unresolved.

What the SEC Approval Covers

The commission's order applies to six funds total, spanning not just cryptocurrency but also commodities including gold, silver, crude oil, and natural gas. This broader scope reflects Cboe's ongoing push to expand its roster of leveraged commodity-trust products beyond what its standard listing framework normally permits.

Importantly, this decision builds on a proposal first reported in August, when Cboe was still in the process of seeking regulatory sign-off. The approval specifically addresses an exchange-rule hurdle — Cboe's generic commodity-trust listing standards don't automatically accommodate products targeting a specified multiple of an underlying benchmark, meaning these funds required individualized review and approval before they could move forward. All other standard initial and continuing listing requirements remain in effect.

Proposed Tickers and Registration Status

Volatility Shares' preliminary prospectus, filed August 17th, lists proposed ticker symbols BITH for the Bitcoin-linked product and ETHK for the Ether-linked fund. However, investors should note this filing was explicitly marked "subject to completion," meaning the prospectus itself states that securities cannot legally be sold until registration becomes effective.

This distinction matters significantly: the SEC's October order approves Cboe's exchange rule change, but it does not confirm that registration has been finalized or that trading has actually commenced. As of October 4th, neither registration effectiveness nor a first trading date has been confirmed. Investors should not interpret this rule approval alone as a signal that the products are currently accessible through brokerage platforms.

ETP Structure, Not a Registered Fund

Despite carrying "ETF" in their names, the SEC's order formally classifies these products as exchange-traded products (ETPs), structured specifically as Commodity-Based Trust Shares. This classification carries real consequences for investors — these products do not carry the same investor protections afforded to funds registered under the Investment Company Act of 1940.

Understanding the 3x Daily Target

Each crypto-linked product aims to deliver three times the daily performance of its underlying benchmark, calculated before fees and expenses. The benchmarks track portfolios composed of first- and second-month futures contracts, with the funds holding a combination of futures positions and cash collateral. This means the reference point is the daily return of a futures portfolio, not simply the spot price of Bitcoin or Ether.

According to the preliminary prospectus, a "day" is defined as the interval between successive net asset value calculations, with the funds generally aiming to rebalance on a daily basis. This daily rebalancing mechanism means each day's performance compounds from an already-adjusted asset value — making the sequence and timing of gains and losses critically important for anyone holding the product over an extended period.

Why Leverage Carries Real Risk

The SEC's own investor bulletin cautions that daily leveraged products can drift substantially from their stated multiple when held over weeks or months, particularly during periods of market volatility. Volatility Shares' prospectus echoes this warning, noting that longer-term returns may diverge not just in magnitude but potentially in direction from the underlying asset's actual performance. In other words, a 3x daily objective is not a guarantee of tripling Bitcoin or Ether's cumulative returns over time.

Beyond tracking deviation, leverage inherently magnifies losses. SEC staff have specifically flagged that ETFs employing leveraged Bitcoin-futures strategies carry heightened volatility and can expose investors to significant, sudden losses — a risk factor anyone considering these products should weigh carefully before investing.
